End User License Agreement

Effective Date: February 8, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Integrate BC LLC ("Licensor," "we," "us," or "our") governing your use of our extensions and applications ("Software") for Microsoft Dynamics 365 Business Central, distributed through Microsoft AppSource or other authorized channels.

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software in connection with a valid Microsoft Dynamics 365 Business Central subscription. This license is granted solely for your internal business purposes.

2. Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law
• Modify, adapt, translate, or create derivative works based on the Software
• Distribute, sublicense, lease, rent, sell, or otherwise transfer the Software to any third party
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software for any purpose that is unlawful or prohibited by this Agreement

3. Intellectual Property

The Software and all copies thereof are proprietary to Integrate BC LLC and title thereto remains in us. All rights in the Software not specifically granted in this Agreement are reserved to us. The Software is protected by copyright and other intellectual property laws and treaties.

4. Data Collection and Privacy

The Software may collect operational and diagnostic telemetry data through Microsoft Azure Application Insights to monitor performance, diagnose issues, and improve the quality of our products. This data collection is described in detail in our Privacy Statement.

By using the Software, you acknowledge and consent to the collection and processing of telemetry data as described in our Privacy Statement.

5. Support and Updates

We may, at our sole discretion, provide updates, patches, or new versions of the Software. Updates delivered through Microsoft AppSource are subject to the AppSource terms of service. We are not obligated to provide technical support, maintenance, or updates unless separately agreed upon in writing.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTEGRATE BC LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU, IF ANY, FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. You may terminate this Agreement at any time by uninstalling and ceasing all use of the Software.

Upon termination, you must destroy all copies of the Software in your possession. Sections 3, 6, 7, and 10 shall survive termination of this Agreement.

9. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Missouri.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Integrate BC LLC with respect to the Software and supersedes all prior or contemporaneous communications, whether electronic, oral, or written, between you and us regarding the Software.
